Pre-marketing allows an investment strategy or fund concept to be presented to potential professional investors in order to assess their interest before formal marketing and subscription are permitted.

The fund itself may already exist or may still be under consideration. Draft fund documentation may be used, provided that it does not enable investors to make a binding investment decision or subscribe to the fund.

For asset managers considering a European fundraising strategy, this creates an important opportunity:

Test the market first. Establish the final European structure once sufficient investor interest has been identified.

A Luxembourg or other European fund structure may ultimately be appropriate for formal marketing and investment, but it does not necessarily need to be established at the beginning of the investor dialogue.
